Contractual Relationship
Locolla Limited is a private company established in Hong Kong, with its principal office located at Room 212, 2/F Enterprise Plaza, No.5 Science Park West Avenue, Hong Kong Science Park (“the Company”). These Terms of Use (“Terms” or “these Terms”) set forth rules you (an individual) must follow when using Locolla Limited's website, content, products, application methods and services (collectively “Services”) anywhere in the world.
Please read these Terms carefully before using the Services provided by the Company.
By using the Services, you acknowledge and agree to be bound by these Terms, thereby establishing a contractual relationship between you and the Company regarding your use of the Services. If you do not agree to these Terms, do not use the Services. Except for any supplemental terms applicable to you, these Terms expressly supersede any prior agreements or arrangements between you and the Company. The Company may, at any time and for any reason, immediately terminate this agreement or any services relating to you, or cease providing and refuse you access to the Services or any part thereof.
Supplemental terms may apply to certain specific services (for example, policies, events or promotions for particular occasions). For the applicable services, the supplemental terms will be deemed part of this agreement. If this agreement conflicts with supplemental terms for a given service, the supplemental terms for that service shall prevail to the extent of the conflict.
The Company may revise the terms relating to the Services from time to time. Revised terms and/or supplemental terms, or revised policies applicable to the Services, take effect immediately upon publication on this website. In this agreement, “including” means “including but not limited to.”
In accordance with the Company’s Privacy Policy, we collect and use personal information related to the Services. If any complaint, dispute or conflict arises, including accidents involving you and third parties, you agree that the Company may provide any necessary personal information (including your contact details) to claims handlers or insurers in order to resolve the complaint, dispute or conflict.

Unless otherwise agreed in writing by the Company, the Services are for your personal, non-commercial use only.
(1) License
Subject to your compliance with this agreement, the Company grants you a limited, non-exclusive, non-sublicensable, revocable and non-transferable license to: (i) access and use the application on your personal device, with access or use of content limited to your use of the Services; and (ii) access and use any content, information and related materials obtained through the Services, in each case solely for your personal, non-commercial use. Any rights not expressly granted in this agreement are reserved by the Company and its licensors.
(2) Restrictions
You shall not: (i) remove any copyright, trademark or other proprietary notices from any part of the Services; (ii) copy, modify, create derivative works of, distribute, license, rent, lease, sub-lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services, except as expressly permitted by the Company; (iii) decompile, reverse engineer or disassemble the Services unless allowed by applicable law; (iv) link to, mirror, copy or build any part of the Services; (v) use or run any program or script to scrape, index, probe or otherwise mine any part of the Services, or unduly burden or hinder any aspect of the Services’ operation and/or functionality; or (vi) attempt to gain unauthorized access to or damage any aspect of the Services or their related systems or networks.
(3) Service Provision
You acknowledge that some Services may be provided by other Company brands or designated brands relating to public bicycles (namely the Locobike brand).
(4) Third-party Services
The Services may connect to, or provide access to, third-party services and content (including advertisements) not affiliated with the Company. You acknowledge that different terms of use and privacy policies may apply to such third-party services and content. The Company does not review such third-party services or content and, in any event, assumes no liability for any products or services of third-party providers.
(5) Ownership
The Services and all rights therein are the property of the Company or its licensors. Neither this agreement nor your use of the Services transfers or grants you any rights with respect to: (i) the Services or any related ownership, except for the limited license granted above; or (ii) using or referencing the Company’s corporate name, logos, product and service names, trademarks or service marks, or those of its licensors, in any way.
(6) Maintenance Services
The Company is responsible for the routine operation, maintenance and repair of the bicycles, but is under no obligation to ensure that all available bicycles are in working condition at all times. Before using a bicycle, you must confirm its integrity and functions and be familiar with its performance and safety features. If you discover a defect before or during use, you must immediately cancel the reservation or stop using the Service and promptly notify the Company. If you ignore any defect or issue and continue using the bicycle, you bear full responsibility for all resulting consequences.
Use of Service
(1) User Account
To use most Services, you must register and maintain an active personal user account (“Account”). Before registering, you must ensure you are physically fit to use and ride a bicycle. The Service provides a profile page so you can update personal information (your name, email address and phone number) at any time. You agree to keep your account information accurate, complete and up-to-date. Failure to do so may result in inability to access the Services or termination of this agreement by the Company. You are responsible for all activities under your account and agree to keep your account name and password secure and confidential at all times. Unless permitted in writing by the Company, you may only have one account.
(2) User Requirements and Conduct
You shall not authorize any third party to use your account. You shall not rent, transfer or otherwise assign your account to another person or entity. You agree to comply with all applicable laws and regulations and to use the Services only for lawful purposes. You shall not cause nuisance, annoyance, inconvenience or property damage to any party while using the Service. You may be required to provide identification when accessing or using the Services; refusal may result in denial of access.
(3) Push Notifications
By creating an account, you agree that the Company may send push notifications within the application as part of normal business operations. If you have questions about such notifications, email hello@loco.hk. You understand that disabling notifications may affect your use of the Services.
(4) Promotional Codes
The Company may, at its discretion, create promotional codes (“Promotional Codes”) redeemable for Account Credit or Service-related features or benefits, subject to the following additional terms. You agree that Promotional Codes: (i) must be used lawfully for their intended audience and purpose; (ii) shall not be copied, sold, transferred or made available to the public without the Company’s express permission; (iii) may be revoked at any time for any reason without liability; (iv) must be used according to specific terms set by the Company; (v) are not redeemable for cash; and (vi) may expire prior to use. If the Company determines or suspects abnormal, fraudulent, illegal or otherwise improper use or redemption of Promotional Codes, it reserves the right to deduct any Credit or benefits obtained by you or any other user.
(5) Network Access and Devices
You are responsible for obtaining the data network required to use the Services. Any charges arising from mobile-data or SMS usage while accessing or using the Services are your responsibility. You must acquire and update compatible hardware or devices for the application and its updates. The Company makes no guarantee that the Services, or any part thereof, will operate on any specific hardware or device. The Services may be subject to malfunctions and delays inherent in Internet and electronic communications.
System Operation
The rental period starts when a bike is unlocked or when a user reserves a bike via the mobile application. The rental period ends when the bike is locked at any legal and free public bike-parking spot. If, after the rental period, the bike is not returned and/or not locked at a legal and free public bike-parking location, the Company may charge additional fees and deduct Trust Score points depending on severity.
Deposit
As of 1 November 2019, the deposit scheme required for the Services has been cancelled. If you registered before that date and paid a HKD 99 deposit, you may apply for a refund. After verification, the Company will notify you and refund the amount to your credit-card account within 14 days of the confirmation notice.
Payment
The Services are charged via Top-up Credit, purchase of Tickets, passes or ride plans (collectively “Service Plans”). You agree to purchase a Service Plan and pay the full fee before using the Services. Service Plan fees are payable immediately in full and expire according to Company policy. Under no circumstances may you transfer your Service Plan to another user. The Company may, from time to time, offer promotions or discounts to certain users, resulting in different charges for the same or similar services or goods. You agree that such promotions or discounts, unless stated otherwise, do not apply to your use of Services and/or purchased Service Plans and create no liability for the Company.
Credit
(1)Definition

(2)Account Credit Validity Period

(3)Top Up the Account Credit
(i)You can use the payment methods provided by "LocoBike" software to top up your account. (ii)Please understand and agree that to protect the car usage rights of every user, we will set a Minimum Credit Limit for car usage based on actual operational conditions. You need to top up your Account Credit to raise it above this limit in order to unlock and use the vehicle. If your Credit falls below this limit during riding due to any reason, it will not affect your ongoing ride.
(4)Use of Account Credit
